Welcome to Fluent Forward. These Terms of Service ("Terms") are a legal agreement between you and Fluent Forward Inc. ("Fluent Forward," "we," "us," or "our"). They govern your access to and use of the Fluent Forward website, applications, and services. If you have any questions, please contact us at legal@fluentforward.com.

1. Acceptance of Terms

Agreement to Terms

By accessing or using the Fluent Forward platform — including our website, mobile applications, and related services (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

Eligibility

You must be at least 18 years old to create an account and use the Platform independently. Users between the ages of 13 and 17 may use the Platform only with verifiable parental or guardian consent. By using the Platform, you represent that you meet these eligibility requirements.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

2. Accounts and Registration

Account Creation

To access most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Fluent Forward will not be liable for any losses caused by unauthorized use of your account.

One Account per User

Each individual may maintain only one personal account. Creating multiple accounts to circumvent suspensions, restrictions, or for any other reason is prohibited and may result in termination of all associated accounts.

3. Use of the Platform

Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree to use the Platform to connect with tutors or students, book and conduct lessons, communicate about educational services, and manage your account and payments.

Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) harass, abuse, or harm other users; (c) post false, misleading, or fraudulent content; (d) attempt to bypass or circumvent our payment system by arranging off-platform payments; (e) scrape, crawl, or otherwise extract data from the Platform; (f) introduce malware or other harmful code; (g) impersonate any person or entity; or (h) violate any applicable laws or regulations.

Off-Platform Transactions

All financial transactions for tutoring services arranged through the Platform must be conducted through the Platform's payment system. Circumventing the Platform to avoid fees — including soliciting or accepting payment outside the Platform from users you connected with through Fluent Forward — is strictly prohibited and may result in account termination.

4. Tutors and Independent Contractors

Independent Contractor Status

Tutors on the Platform are independent contractors, not employees, agents, or partners of Fluent Forward. Fluent Forward does not control the content, timing, or delivery of tutoring sessions. Tutors are solely responsible for the educational services they provide.

Tutor Verification

While we verify certain information provided by tutors (such as identity and qualifications), Fluent Forward does not guarantee the accuracy of tutor profiles or the quality of any specific tutoring session. We encourage students to review tutor profiles, ratings, and reviews carefully before booking.

Tutor Obligations

Tutors agree to maintain accurate profiles, provide services as described, honor confirmed bookings, maintain professional conduct at all times, and comply with all applicable laws including tax obligations related to income earned through the Platform.

5. Payments, Fees, and Refunds

Payment Processing

All payments are processed through our third-party payment processor, Stripe. By making a payment on the Platform, you agree to Stripe's terms of service. Fluent Forward does not store your full payment card details.

Platform Fees

Fluent Forward charges a service fee on each transaction. The applicable fee is displayed at the time of booking. Tutors receive their earnings minus the platform commission, which is displayed in their tutor dashboard.

Cancellations and Refunds

Cancellation and refund policies vary by tutor and are displayed on each tutor's profile. In general: cancellations made more than 24 hours before a scheduled lesson are eligible for a full refund; cancellations within 24 hours may be subject to a cancellation fee. If a tutor cancels a confirmed lesson, you will receive a full refund. Disputes about lesson quality may be raised with our support team within 7 days of the lesson.

Subscription Plans

If you subscribe to a Fluent Forward subscription plan, your subscription will renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings. Refunds for subscription fees are provided at our discretion.

6. Content and Intellectual Property

Your Content

You retain ownership of content you submit to the Platform, including profile information, reviews, and messages. By submitting content, you grant Fluent Forward a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content for the purpose of operating and improving the Platform.

Fluent Forward Content

All content on the Platform that is not user-submitted — including text, graphics, logos, software, and design — is owned by or licensed to Fluent Forward and is protected by intellectual property laws. You may not copy, reproduce, modify, or distribute this content without our prior written permission.

Feedback

If you provide feedback or suggestions about the Platform, you grant us the right to use that feedback without restriction or compensation to you.

7. Reviews and Ratings

Honest Reviews

Students are encouraged to leave honest, accurate reviews after lessons. Reviews must reflect your genuine experience and must not be fabricated, biased, or incentivized. Tutors may not solicit, manipulate, or pay for reviews.

Review Moderation

Fluent Forward reserves the right to remove reviews that violate our content guidelines, including reviews that are fraudulent, abusive, off-topic, or otherwise inappropriate. We do not remove negative reviews solely because they are unfavorable.

8. Privacy

Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and sharing of your personal information.

9. Disclaimers and Limitation of Liability

Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Fluent Forward does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by law, Fluent Forward and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the greater of (a) $100 USD or (b) the total amount you paid to Fluent Forward in the 12 months preceding the claim.

Third-Party Services

The Platform may contain links to third-party websites and services. Fluent Forward is not responsible for the content, privacy practices, or terms of third-party services. Your interactions with third parties are solely between you and those parties.

10. Indemnification

Your Obligation to Indemnify

You agree to indemnify, defend, and hold harmless Fluent Forward and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to your use of the Platform, your violation of these Terms, your violation of any third-party rights, or any content you submit to the Platform.

11. Termination

Termination by You

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to use the Platform ceases immediately.

Termination by Fluent Forward

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, any pending payments owed to you will be processed subject to our standard payment schedule, minus any amounts owed to Fluent Forward.

Survival

Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and indemnification obligations — shall survive termination.

12. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles.

Dispute Resolution

Before filing a formal legal claim, you agree to attempt to resolve any dispute informally by contacting us. If a dispute cannot be resolved informally within 30 days, you agree that any legal action will be brought exclusively in the federal or state courts located in San Francisco County, California.

Class Action Waiver

To the extent permitted by law, you waive your right to participate in a class action lawsuit or class-wide arbitration against Fluent Forward.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Fluent Forward regarding your use of the Platform and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Fluent Forward.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
